1) Acceptance of Terms
By purchasing, accessing, or using the Services (defined below), you agree to these Terms and Conditions (“Terms”). If you do not agree, do not use the Services.

You acknowledge that checkout and account access are administered through Whop.com (“Whop”). Your purchase and access may require you to click an “I agree” button or similar acknowledgment.

2) Services Provided
Algorithmic provides access to:

  • Proprietary TradingView indicators and related software tools (the “Indicators”)

  • An Operator Manual and Fast-Start Guide (documentation for the Indicators) (the “Documentation”)

The Indicators are delivered through TradingView and/or Whop workflows, including entering your TradingView username. We may modify, update, or discontinue any portion of the Services at any time.

3) Eligibility; No Minors
You must be at least 18 years old to use the Services. By using the Services, you represent you are 18+ and have the legal capacity to enter into these Terms.

4) Important Risk Disclosure; No Advice; No Guarantees
FUTURES TRADING INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. You may lose all or more than your initial investment. Only risk capital should be used. Past performance is not necessarily indicative of future results.

Algorithmic does not provide investment, tax, legal, or trading advice. The Services are informational tools and software only. You are solely responsible for your trading decisions, orders, risk controls, and outcomes.

We do not guarantee any specific results, profitability, win rate, or performance. Any examples, illustrations, or descriptions are not promises of results.

5) Third-Party Platforms; No Affiliation
The Services may depend on third-party platforms, including TradingView and Whop. Algorithmic is not responsible for:

  • Third-party outages, errors, or delays

  • Data issues or availability

  • Policy changes or suspensions

  • Actions taken by third parties

TradingView and Whop are not affiliated with Algorithmic unless expressly stated.

6) License Grant; Restrictions
Subject to your compliance with these Terms and payment of applicable fees, Algorithmic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Indicators and Documentation for your personal or internal business use during your license term.

You agree not to:

  • Share, resell, sublicense, transfer, distribute, lease, or time-share the Services

  • Share account access, invite links, Indicator access, or Documentation access with any other person

  • Copy, reproduce, modify, translate, create derivative works, or publicly display the Services except as permitted by law

  • Reverse engineer, decompile, disassemble, scrape, or attempt to extract source code, logic, or algorithms

  • Bypass or attempt to bypass access controls, licensing checks, or usage limits

  • Use the Services for unlawful activity

No Reverse Engineering or Reconstruction. You may not, and you agree not to attempt to, directly or indirectly reverse engineer, decompile, disassemble, decode, reconstruct, derive, or otherwise attempt to discover, extract, or recreate any source code, underlying ideas, algorithms, logic, methods, “trade secrets,” or know-how embodied in the Services, Indicators, or Documentation. This prohibition applies even if such reconstruction or inference is possible through observation, chart outputs, alerts, settings, templates, screenshots, screen recordings, export data, or other use of the Services.

No Pine Script Replication. You may not use TradingView Pine Script or any other programming language, tool, script, AI system, prompt, or coding method to replicate, approximate, clone, emulate, or create derivative indicators, strategies, alerts, scanners, or tools that are substantially similar to, or functionally equivalent to, any Algorithmic Indicator or any component thereof.

No Assistance to Others. You may not assist, enable, or permit any third party to do any of the foregoing, including by sharing outputs, parameters, templates, or other information for the purpose of replication.

We may use technical measures to detect and prevent unauthorized use.

7) Confidentiality; Non-Disclosure; Proprietary Information
You acknowledge and agree that the Services, Indicators, Documentation (including the Operator Manual and Fast-Start Guide), and any non-public information you receive or learn through access to or use of the Services are proprietary to Algorithmic and constitute confidential information (“Confidential Information”). Confidential Information includes, without limitation: methods, rules, logic, parameters, settings, workflows, templates, screenshots, screen recordings, charts, outputs, alert structures, naming conventions, written explanations, and any insights or techniques derived from your use of the Services, whether or not such information could be inferred from use.

You agree that you will not, directly or indirectly:

  • Disclose, share, publish, post, transmit, sell, license, distribute, or otherwise make available any Confidential Information to any third party, including on social media, forums, Discord, Telegram, YouTube, websites, or in private groups

  • Use Confidential Information to build, replicate, approximate, clone, emulate, or create derivative indicators, strategies, alerts, scanners, tools, or competing products or services

  • Allow any third party to access the Documentation or any Confidential Information through your account or otherwise

  • Circumvent access controls or otherwise attempt to obtain the Documentation or Confidential Information outside the permitted access methods

Confidential Information does not include information that you can demonstrate with written evidence:

  • Is or becomes publicly available through no breach of these Terms by you

  • Was lawfully known to you before receiving it from Algorithmic

  • Is independently developed by you without use of or reference to Algorithmic’s Confidential Information

You agree that any breach of this section would cause irreparable harm to Algorithmic for which monetary damages may be inadequate. Algorithmic may seek immediate injunctive or equitable relief, in addition to any other remedies available, including termination of your license without refund.

8) Subscription Plans, Trial, Lifetime License, and Billing
7-Day Free Trial: If offered, you may cancel before the trial ends to avoid charges. If you do not cancel before the end of the trial, you authorize Whop (and its payment processors) to charge the payment method on file for the selected plan.

Monthly Subscription: Billed monthly in advance unless cancelled. Cancellation becomes effective at the end of the then-current billing period unless Whop specifies otherwise at checkout.

Lifetime License: A one-time fee for access during the product’s supported life, subject to these Terms, including termination for breach and changes or discontinuation as described in these Terms. “Lifetime” refers to the lifetime of the product offering, not your lifetime.

Billing, invoicing, taxes, and payment processing are handled by Whop and its processors. You agree to Whop’s terms as applicable to your purchase.

9) Refund Policy; Billing Errors Only
All sales are final after the free trial ends. No refunds are provided after the trial expires, except for verified billing errors.

A “billing error” means an incorrect charge caused by a processing error, for example:

  • Duplicate charge

  • Wrong plan charged

  • Charge after timely cancellation where cancellation is confirmed

To request review of a billing error, contact support@algorithmic.io within 7 days of the charge and provide the transaction details and explanation. We may require reasonable proof.

Chargebacks or payment disputes that are inconsistent with these Terms may result in immediate suspension or termination of access.

10) Account Security; TradingView Username Submission
You are responsible for maintaining the confidentiality of any credentials and for all activity under your account. You agree that any TradingView username you submit must be accurate and that you have the right to use it.

11) Updates and Changes
We may update the Services (including Indicators and Documentation) at any time. Updates may change outputs, behavior, or compatibility. We are not liable for any changes to strategies, results, or performance that you believe are associated with updates.

12) Suspension; Termination
We may suspend or terminate your access immediately if we believe you:

  • Violated these Terms

  • Attempted unauthorized sharing, resale, or circumvention

  • Engaged in fraud, abuse, or illegal conduct

Upon termination, your license ends and you must stop using the Services. Sections intended to survive will survive, including payment obligations, disclaimers, limitation of liability, and dispute resolution.

13) Intellectual Property
Algorithmic and its licensors own all rights, title, and interest in the Services, including software, Indicators, Documentation, trademarks, and all related intellectual property. No rights are granted except as expressly stated.

14) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGORITHMIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

We do not warrant that the Services will be:

  • Uninterrupted

  • Error-free

  • Compatible with all systems, brokers, data feeds, or TradingView plans

15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ALGORITHMIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, TRADING LOSSES, LOST DATA, LOST REVENUE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

  • ALGORITHMIC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ALGORITHMIC (THROUGH WHOP) IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16) Indemnification
You agree to indemnify, defend, and hold harmless Algorithmic, its owners, managers, employees, contractors, and affiliates from any claims, liabilities, damages, and expenses (including attorneys’ fees) arising from:

  • Your use or misuse of the Services

  • Your trading activity and outcomes

  • Your violation of these Terms

  • Your violation of any law or third-party rights

17) Accessibility and Support Requests
We aim to provide an accessible experience. If you encounter accessibility barriers, contact support@algorithmic.io and describe the issue and the page or feature. We will consider reasonable efforts to address issues in a commercially reasonable timeframe. (A standalone Accessibility Statement can be published separately.)

18) Dispute Resolution; Mandatory Binding Arbitration; Class Action Waiver
This section affects your rights. It includes an agreement to arbitrate disputes and a class action waiver.

Informal Resolution First: Before starting arbitration, you agree to contact us at support@algorithmic.io with a written description of the issue and your requested relief. The parties will attempt in good faith to resolve the dispute for 30 days.

Agreement to Arbitrate: If not resolved, you and Algorithmic agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms will be resolved by final and binding arbitration, not in court, except as stated below.

Arbitration Provider and Rules: Arbitration will be administered by JAMS under its applicable rules for consumer disputes (or, if JAMS is unavailable, a comparable provider). The arbitrator will apply Oklahoma law consistent with the Federal Arbitration Act.

Location: Unless you and Algorithmic agree otherwise, arbitration will take place in Tulsa County, Oklahoma, or may be conducted by video/telephone when appropriate.

Small Claims Option: Either party may bring an individual action in small claims court in Tulsa County, Oklahoma, if the claim qualifies and remains in that court.

Class Action Waiver: You and Algorithmic agree that disputes must be brought in each party’s individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Arbitration will not be combined with any other arbitration without consent of all parties.

Jury Trial Waiver: If a dispute is ever heard in court (for example, for small claims or injunctive relief), you and Algorithmic waive any right to a jury trial to the maximum extent permitted by law.

Fees: Each party is responsible for its own attorneys’ fees unless the arbitrator awards fees under applicable law. Arbitration filing and administrative fees will be handled consistent with the provider’s rules; if required by those rules, Algorithmic will pay the company-required portion for consumer arbitration.

Injunctive Relief: Algorithmic may seek injunctive or equitable relief in court to protect its intellectual property and prevent unauthorized access or misuse, without waiving arbitration for other claims.

Opt-Out (30 Days): You may opt out of arbitration and the class action waiver within 30 days of first accepting these Terms by sending an email to support@algorithmic.io with subject line “Arbitration Opt-Out,” your full name, the email used at purchase, and a clear statement you opt out. If you opt out, disputes will be resolved in court as described in Section 19.

19) Governing Law; Venue
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of laws rules. If arbitration does not apply, you agree that exclusive venue and jurisdiction will be the state or federal courts located in Tulsa County, Oklahoma, and you consent to personal jurisdiction there.

20) Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted with a new Effective Date. Continued use after changes means you accept the updated Terms.

21) Entire Agreement; Severability; Assignment
These Terms are the entire agreement regarding the Services and supersede prior discussions. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
